If I'm sitting in a tree stand, hunting say..elk, and a grizzly comes roaming by and lights up the spot, because he is so close, am I dead for this try? Or can I go track a different one, then spot another, and then kill one?

You can still spot another one and complete the mission. It's just that any bear that you already spotted before finding the three tracks doesn't work for the spotting objective any more.
